MATERIAL FACT
We hereby inform the shareholders and the market that, pursuant to the provisions of Instruction No. 358 of January 3, 2002, and Instruction No. 384 of March 17, 2003, published by the Brazilian Securities Commission (CVM), Even Construtora e Incorporadora S.A., entered on June 18, 2007 into a Contract with UBS Pactual Corretora de Títulos e Valores Mobiliários S.A., with head office at Avenida Brigadeiro Faria Lima nº. 3729, 10º andar, parte, Itaim Bibi, in the city and state of São Paulo, registered in the Corporate Taxpayers Roll (CNPJ/MF) under number 43.815.158/0001-22 to exercise function of market maker to facilitate the liquidity of its nominative, no-par value common shares (“EVEN3”), listed in the New Market segment of the São Paulo Stock Exchange (BOVESPA) for a period of 6 (six) months, automatically renewable for equal periods if neither party has expressed its intent otherwise. Even Construtora e Incorporadora S.A. also informs that it holds 33,196,828 (thirty three million, one hundred ninety-six thousand, eight hundred twenty-eight) nominative, no-par value common shares in circulation, pursuant to the terms of Normative Instruction 10 of the Brazilian Securities Commission of February 14, 1980 and does not have any contract with the said market maker, regulating the exercising or acquisition of voting rights or the purchase or sale of shares issued by it.
