Even announces Material Fact
EVEN CONSTRUTORA E INCORPORADORA S.A. (the “Company”), in compliance with Article 157, paragraph 4, of Law. 6,404 dated December 15, 1976, as amended, Brazilian Securities Commission (Comissão de Valores Mobiliários) (“CVM”) Instruction 358 of January 3, 2002, as amended, and the Company’s Material Information Disclosure Policy of June 27, 2019, hereby announces to its shareholders and the market in general that the Company’s Board of Directors approved, at a meeting held on this date, subject to the conditions set forth in this Material Fact and pursuant to Article 20 of the Company’s Bylaws, the general terms and conditions for the sale, by the Company, of all ordinary stocks issued by the Company’s subsidiary, Viedma RJ Empreendimentos Imobiliários S.A. (CNPJ/ME No. 34.595.494/0001-16) (“Viedma RJ”), to a real estate investment fund (“FII”) whose quotas will be subject to a public offering to be coordinated by XP Investimentos Corretora de Câmbio, Títulos e Valores Mobiliários S.A., with restricted distribution efforts, in accordance with the CVM Instruction 472 of October 31, 2008, as amended, the CVM Instruction 476, of January 16, 2009, as amended, the ANBIMA Code of Regulation and Best Practices of Investment Funds, and all other applicable public regulations and the FII’s bylaws (“Restricted Offer”).
The FII will be incorporated with the purpose of raising funds in the approximate amount of two thousand and sixty-five million Brazilian Reais (R$ 265,000,000.00), under the best placement efforts rule, in order to buy the entirety of Viedma RJ’s stocks.
The acquisition of Viedma RJ’s stock, by the FII, will be subject to the satisfaction of several conditions precedent, including the: (a) successful conclusion of the FII’s fund-raising process; (b) the launch and closing of the FII’s Restricted Offer; (c) approval, by the Company’s Board of Directors, of the definitive terms and conditions relevant to the stock purchase agreement; and (d) implementation of a corporate reorganization by which the Company will transfer, to Viedma RJ, quotas of operational company’s developing the following real estate projects in Rio de Janeiro:
(i) Riachuelo Corporate located at R. Riachuelo, 366 – Centro;
(ii) Up Barra located at Estrada do Engenho d‘Água, 1451 – Jacarepaguá;
(iii) Up Barra Mais located at Estrada do Engenho d‘Água, 1401 – Jacarepaguá;
(iv) Haddock Business located at Rua Haddock Lobo, 210 – Tijuca;
(v) You Botafogo located at R. Real Grandeza, 96 – Botafogo;
(vi) Arcos 123 located at R. dos Inválidos, 123 – Centro;
(vii) Up Norte located at R. Piauí, 400 – Cachambi; and
(viii) Assembleia One located at R. da Assembleia, 85 – Centro.
The Company will keep its shareholders and the market in general duly informed of any developments or deliberations regarding the potential transaction, through its usual channels used for the disclosure of periodic and occasional information, respecting restrictions set forth in CVM rules and any other applicable regulations.
