Even announces Material Fact
EVEN CONSTRUTORA E INCORPORADORA S.A. (“Companhia”), in compliance with article 30, paragrah 1 of Law No. 6,404/76, and in the Instructions of the Securities Commission (“CVM”) No. 358/2002, as amended, informs its shareholders and the market in general that the Board the Company‘s Board of Directors, at a meeting held on this date, approved the cancellation of 5,000,000 (five million) ordinary shares, issued by the Company, currently held in treasury, with no reduction in the Capital Stock, in the terms of Article 20, subsection (xvii), of the Company’s Bylaws.
As a result of the deliberation mentioned above, the Company’s Capital Stock will be represented by 212,000,0000 (two hundred and twelve million) ordinary common shares, all nominative, bookentry shares with no par value, which adjustment in Article 5 of the Company’s Bylaws will be submitted to deliberation in an Extraordinary Shareholder’s Meeting, which will be convened in due course to contemplate the new number of shares that the Capital Stock is divided.
