Termination of the Shareholders´ Agreement and Execution of the Voting Agreement

TERMINATION OF THE SHAREHOLDERS´ AGREEMENT AND EXECUTION OF THE VOTING AGREEMENT

MATERIAL FACT

São Paulo, August 06, 2012 – Even Construtora e Incorporadora S.A. (BM&FBovespa: EVEN3), with operations in the states of São Paulo, Minas Gerais, Rio de Janeiro and Rio Grande do Sul and a focus on residential developments with units priced up to R$500,000, hereby announces that on this date, Carlos Eduardo Terepins, Luis Terepins and Fundo de Investimento em Participações Genoa, which, jointly hold an intereset of 18.8% in the Company, decided to terminate the Shareholders´Agreement entered into July 7, 2009.

Concurrently, Carlos Eduardo Terepins and Fundo de Investimento em Participações Genoa signed a Voting Agreement, aiming the pool vote to elect the members of the Board of Directors.

On this date, Carlos Eduardo Terepins and Luis Terepins , jointly with the Company´s board of the executive officers hold an interest of 9.0%, while Fundo de Investimento em Participações Genoa holds 10.6%.
